Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Voicify ("we," "us," or "our") governing your use of the Voicify iOS application, website, and related services (collectively, the "Service").

You must be at least 13 years of age (or 16 in the EEA) to use Voicify. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Description of Service

Voicify provides:

• AI-powered text-to-speech synthesis using neural voice models
• Optical Character Recognition (OCR) to extract text from images and convert it to speech
• Voice cloning to create personalized voice models from audio recordings
• An audio history library for managing generated clips
• A library of 200+ AI voices in 50+ languages

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

3.1 Account Creation

Some features require an account. You may sign in via Apple Sign In, Google Sign In, or email and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3.2 Accuracy of Information

You agree to provide accurate, current, and complete information and to update it as necessary. Providing false information may result in account termination.

3.3 Account Security

You must notify us immediately at support@voicify.app if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account that you failed to report promptly.

4. Subscriptions and Payments

4.1 Subscription Plans

Voicify offers the following subscription tiers, subject to change with notice:

• Free: Limited features with advertising
• Starter: Expanded features, ad-free, monthly billing
• Pro: Full feature access including Voice Cloning, monthly or annual billing

4.2 Billing and Renewal

Subscriptions are billed through the Apple App Store. Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew at the end of each billing period unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage your subscription in iOS Settings → Apple ID → Subscriptions.

4.3 Refund Policy

All purchases are processed through Apple. Refund requests must be submitted directly to Apple in accordance with Apple's refund policy. We do not control the refund process for App Store purchases. Contact Apple Support at reportaproblem.apple.com.

4.4 Free Trials

If a free trial is offered, it begins on the date you activate it. You will be charged the applicable subscription price at the end of the trial period unless you cancel before the trial ends.

4.5 Price Changes

We may change subscription prices from time to time. We will provide at least 30 days' advance notice of price increases. Continuing to use the Service after a price change constitutes your acceptance.

5. Voice Cloning — Consent and Restrictions

5.1 Consent Requirement

By using the Voice Cloning feature, you represent and warrant that:

• You are cloning your own voice, OR
• You have obtained explicit, written, informed consent from the person whose voice is being cloned, and that consent covers the intended use case
• The use of the cloned voice will not deceive or harm any person
• You will not use a cloned voice to impersonate the original speaker for fraudulent purposes

5.2 Prohibited Voice Clone Uses

You may not use Voice Cloning to:

• Impersonate any person, living or deceased, without their consent (or the consent of their estate)
• Create deepfakes, non-consensual synthetic media, or misleading audio content
• Generate content that violates any applicable law, including fraud, defamation, or harassment statutes
• Create recordings that could be mistaken for authentic statements by public figures, politicians, executives, or celebrities
• Circumvent two-factor authentication, voice recognition security systems, or access controls

5.3 Your Liability

You bear full legal responsibility for any voice content you generate using Voice Cloning. We will cooperate with law enforcement investigations relating to unauthorized voice use and may report violations to appropriate authorities.

6. Acceptable Use Policy

6.1 Prohibited Content

You agree not to use Voicify to generate, transmit, or distribute content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property right
• Contains hate speech, discrimination based on race, gender, religion, sexual orientation, disability, or national origin
• Promotes or depicts violence, self-harm, or exploitation of minors
• Constitutes spam, phishing, or fraudulent communications
• Violates any applicable local, national, or international law or regulation
• Involves political disinformation, election interference, or propaganda

6.2 Technical Restrictions

You agree not to:

• Attempt to gain unauthorized access to any part of the Service or related systems
• Reverse engineer, decompile, or disassemble the application
• Use automated scripts, bots, or crawlers to access the Service
• Circumvent any usage limits, rate limits, or quotas
• Resell, sublicense, or commercially redistribute the Service without our written permission
• Interfere with or disrupt the integrity or performance of the Service

7. Intellectual Property

7.1 Our IP

Voicify, its logo, the application design, underlying technology, and AI voice models (excluding third-party models) are owned by us or our licensors and are protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.

7.2 Your Content

You retain ownership of the text you input and the audio output you generate. By using the Service, you grant us a limited, non-exclusive, royalty-free license to process your input solely to provide the Service to you. We do not claim ownership of your content.

7.3 License to Use the App

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Voicify iOS application on devices you own or control, for your personal or internal business use.

8. Third-Party Services

Voicify integrates with third-party services including but not limited to Apple App Store, Google AdMob, RevenueCat, and AI voice model providers. Your use of those services is governed by their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Voice synthesis output will be perfectly accurate or suitable for any particular purpose
• The Service will meet your specific requirements
• Any errors will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOICIFY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50 (USD), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Voicify and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your violation of any applicable law or regulation
• Content you generate, including unauthorized voice cloning

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to the data practices described in our Privacy Policy.

13. Termination

13.1 Termination by You

You may stop using the Service at any time. To delete your account, go to Profile → Settings → Delete Account in the app. Account deletion is permanent and will result in the loss of all your data, including saved audio, voice models, and history.

13.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13.3 Effect of Termination

Sections 7 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 15 (Governing Law) survive termination.

14. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes by updating the date at the top of this page and, for significant changes, through an in-app notification. Your continued use of the Service after changes become effective constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Voicify operates, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or confidentiality violations.

16. Apple App Store Terms

The following terms apply to the extent Voicify is acquired through the Apple App Store:

• These Terms are between you and Voicify only, not with Apple Inc. Apple has no obligation to provide maintenance or support for the app.
• Apple is not responsible for any claims by you or third parties relating to the app or your use of it.
• In the event of failure to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price. Apple has no other warranty obligation.
• You must comply with applicable third-party terms when using the app.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

17. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Voicify regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

No Partnership: Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Voicify.
